1. Introduction

This End User License Agreement (“Agreement” or “Terms”) is a legally binding agreement between you (“User”, “you”, or “your”) and ZenturioTech Private Limited (“Company”, “we”, “us”, or “our”) governing your access to and use of our website, mobile applications, software platforms, AI powered services, coaching and counseling services, and related technologies (collectively, the “Services”).

By accessing, downloading, registering for, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are under the age of majority in your jurisdiction, you must review these Terms with your parent or legal guardian, and they must consent to your use of the Services.

If you do not agree to these Terms, you must not use the Services.

2. Nature of the Services

ZenturioTech Private Limited provides AI assisted emotional wellness, self help, behavioural support, guided reflection, wellness exercises, educational tools, and optional human support services.

The Services may include:

• AI powered conversational support
• Emotional wellness tools and exercises
• Guided journaling and reflection
• Behavioural coaching support
• Mental wellness education
• Mood tracking and progress tools
• Institution or enterprise enabled support systems
• Referral and intake tools
• Human coaching or care navigation services where applicable

The Services are intended to support emotional well being and self help practices.

Important Medical Disclaimer

The Services:

• are NOT medical devices unless explicitly stated otherwise;
• do NOT provide medical diagnosis;
• do NOT replace licensed mental health professionals, physicians, or emergency services;
• are NOT intended for crisis intervention or emergency use;
• should NOT be relied upon for medical, psychiatric, legal, or clinical decision making.

If you believe you are experiencing a medical or mental health emergency, or if you may harm yourself or others, contact emergency services or a licensed healthcare professional immediately.

3. Eligibility

To use the Services, you must:

• be at least 18 years old, or the minimum age required by applicable law in your jurisdiction;
• have legal capacity to enter into this Agreement; and
• comply with all applicable laws and regulations.

For users under 18 years of age, parental or guardian consent may be required.

We reserve the right to restrict or terminate access where eligibility requirements are not met.

4. AI Powered Services

Our platform may use artificial intelligence (“AI”), machine learning models, large language models (“LLMs”), automated decision systems, or rule based conversational systems.

By using AI powered features, you acknowledge and agree that:

• you are interacting with software and not a human;
• AI generated responses may sometimes be inaccurate, incomplete, delayed, misleading, or inappropriate;
• AI systems may misunderstand context or emotional nuance;
• AI outputs should not be treated as professional advice;
• the AI system is intended only as a supportive informational tool.

AI Safety Limitations

You further acknowledge that:

• AI systems cannot guarantee complete accuracy or safety;
• outputs may vary between interactions;
• certain messages may be blocked or filtered through safety systems;
• the system may refuse responses that violate safety policies;
• AI services may occasionally become unavailable.

You agree not to:

• rely exclusively on AI responses for critical decisions;
• input unlawful, harmful, or dangerous content;
• submit highly sensitive information unless specifically requested.

5. Human Coaching and Support Services

Where applicable, the Services may include access to consultants, wellness guides, behavioural support staff, emotional wellness coaches, care navigators, or other independent support providers (“Support Professionals”). The Platform may also use AI systems to recommend or suggest available Support Professionals based on user preferences, availability, language, wellness goals, or other relevant factors. Users may independently choose to connect with such professionals, schedule appointments, and obtain services directly through or alongside the Platform..

By using these services, you acknowledge and agree that:

• Support services are designed for general emotional wellness and personal support purposes only.
• The Platform and its Support Professionals do not guarantee clinical outcomes, emotional recovery, or specific wellness results.
• The services are not intended for emergency situations, crisis response, or urgent medical or psychiatric needs.
• If you are experiencing thoughts of self-harm, suicidal ideation, severe emotional distress, or a medical emergency, you should immediately contact local emergency services, a licensed medical professional, or a crisis support organization in your region.
• Support sessions may be delivered through messaging, chat, voice calls, video calls, or other communication methods made available through the Platform.
• AI-generated recommendations, matching systems, or suggestions regarding Support Professionals are automated and informational in nature. SereinSoul does not guarantee the suitability, compatibility, qualifications, availability, or effectiveness of any suggested professional unless explicitly verified and stated.
• Support Professionals may not always be immediately available, and response times may vary depending on scheduling, demand, technical issues, or operational constraints.
• Sessions, appointments, or communications may be delayed, rescheduled, reassigned, interrupted, or cancelled where necessary.
• The quality, style, and effectiveness of support may vary between professionals and individual user experiences.
• Support Professionals cannot prescribe medication, provide medical diagnoses, or perform regulated healthcare functions unless they are independently licensed, legally authorized, and expressly identified as such on the Platform.
• Certain conversations, interactions, or session records may be monitored, reviewed, recorded, or internally evaluated for quality assurance, safety monitoring, service improvement, training, compliance, or dispute resolution purposes, subject to applicable privacy laws and the Platform’s Privacy Policy.
• Users are responsible for maintaining respectful, lawful, and appropriate behaviour during all interactions with Support Professionals and staff.
• Users are responsible for attending scheduled appointments on time and for providing accurate, truthful, and reasonably complete information where necessary for support delivery.
• The Platform reserves the right to suspend, terminate, limit, or refuse access to support services in cases involving abuse, harassment, threats, inappropriate conduct, misuse of the Platform, or violations of these Terms.
• SereinSoul acts primarily as a technology and facilitation platform connecting users with wellness-oriented support services and does not assume liability for independent professional advice, actions, omissions, or outcomes arising from interactions between users and Support Professionals, except where required under applicable law.

By accessing or using Human Coaching and Support Services, you acknowledge that participation is voluntary and undertaken at your own discretion and responsibility.

 

6. Institution or Enterprise Services

If your access is provided through an employer, educational institution, healthcare provider, insurance partner, or other organization (“Institution”), your use of the Services may also be governed by a separate agreement between the Company and the Institution.

In such cases:

• the Institution may define eligibility requirements;
• some data may be shared with the Institution as described in the Privacy Policy;
• certain features may be limited or customized;
• access may terminate when the Institution relationship ends.

If there is a conflict between these Terms and the Institution agreement, the Institution agreement will prevail to the extent required.

7. User Accounts and Security

To access certain features of the Services, you may be required to create and maintain a user account. By creating an account, you represent and warrant that all information provided by you is accurate, current, complete, and not misleading, and that you will promptly update such information whenever necessary.

You are solely responsible for maintaining the confidentiality, security, and proper use of your account credentials, including your username, password, authentication methods, linked devices, and any other security related information associated with your account.

You agree and acknowledge that you are responsible for:

• maintaining the confidentiality of your login credentials and account information;
• restricting and monitoring access to your devices, browsers, and connected accounts;
• ensuring that all information associated with your account remains accurate, complete, and up to date;
• all activities, actions, communications, and transactions that occur under your account, whether authorized by you or not;
• using reasonable efforts to prevent unauthorized access to your account or misuse of the Services.

You agree to immediately notify SereinSoul if you:

• suspect unauthorized access to your account;
• believe your password or credentials have been compromised;
• detect suspicious activity, unauthorized transactions, or security breaches;
• lose access to your registered device, email, or authentication method.

SereinSoul may, but is not obligated to:

• monitor account activity for security, fraud prevention, abuse detection, or platform integrity purposes;
• temporarily suspend, restrict, verify, or terminate accounts suspected of unauthorized use, fraudulent activity, policy violations, or security risks;
• require identity verification or additional authentication measures where necessary to protect users and platform security.

You understand and agree that:

• you must not share your account credentials with others or allow third parties to access your account without authorization;
• you must not impersonate another individual or create accounts using false, deceptive, or unauthorized information;
• multiple users may not share a single account unless expressly permitted by the Platform;
• SereinSoul is not responsible for losses, damages, unauthorized actions, or data exposure resulting from your failure to maintain proper account security practices;
• while SereinSoul implements commercially reasonable security measures, no digital platform, transmission method, or storage system can be guaranteed to be completely secure or free from vulnerabilities.

We reserve the right to suspend, disable, or permanently terminate accounts that violate these Terms, compromise platform security, engage in fraudulent or abusive conduct, or create risks to other users, Support Professionals, or the Services.

8. Acceptable Use

You agree not to:

• violate any law or regulation;
• impersonate another person;
• harass, threaten, abuse, or harm others;
• submit false or misleading information;
• attempt unauthorized access to systems or data;
• interfere with platform security or operations;
• reverse engineer or copy the Services;
• scrape or harvest data;
• distribute malware or harmful code;
• use automated systems to overload infrastructure;
• use the Services for unlawful research or surveillance;
• use the Services to develop competing products;
• exploit minors or vulnerable individuals;
• upload offensive, hateful, defamatory, obscene, or illegal content.

We may suspend or terminate accounts that violate these Terms.

9. User Content

You may submit messages, journal entries, responses, comments, audio, video, or other content (“User Content”).

You retain ownership of your User Content.

However, by submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to:

• host;
• store;
• process;
• reproduce;
• analyze;
• modify;
• display;
• transmit;
• use the content

for the purposes of:

• providing the Services;
• improving platform performance;
• safety monitoring;
• research and analytics;
• Anonymous publications
• complying with legal obligations.

You represent that:

• you own or control necessary rights to your content;
• your content does not violate any law or third-party rights.

We reserve the right to remove User Content at our discretion.

10. Data Privacy and Protection

Your privacy is important to us.

Our collection, use, storage, and sharing of data is governed by our Privacy Policy.

By using the Services, you consent to:

• the processing of your information;
• safety monitoring systems;
• automated analysis of messages;
• anonymized or aggregated research use;
• anonymous publications;
• data transfers where legally permitted.

We implement reasonable safeguards to protect your information, but no digital platform can guarantee absolute security.

11. Research and Product Improvement

We may use anonymized or aggregated information to:

• improve our Services;
• conduct internal research;
• develop AI models;
• evaluate wellness outcomes;
• anonymized or aggregated research use
• anonymous publications
• publish statistical findings.

Where legally required, additional consent will be requested.

Participation in research programs is voluntary unless explicitly required through an Institution agreement.

12. Intellectual Property

The Services, Platform, and all related technology, systems, materials, and content are owned by, licensed to, or controlled by ZenturioTech Private Limited and are protected under applicable intellectual property, copyright, trademark, trade secret, patent, and other proprietary rights laws.

This includes, without limitation:

• software, source code, object code, APIs, SDKs, databases, models, and algorithms;
• artificial intelligence systems, prompts, workflows, training structures, recommendation systems, and machine learning technologies;
• platform architecture, interface designs, layouts, visual elements, animations, graphics, illustrations, icons, and user experiences;
• brand names, trademarks, logos, service marks, trade dress, slogans, and domain names;
• audio, video, text, written content, wellness materials, assessments, documentation, and platform-generated outputs;
• proprietary methodologies, behavioural frameworks, analytics systems, operational processes, and internal tools;
• all updates, improvements, modifications, derivatives, enhancements, and related intellectual property rights associated with the Services.

Subject to your compliance with these Terms, SereinSoul grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for your personal, lawful, and non-commercial use.

No ownership rights, title, or intellectual property interests are transferred to you under these Terms.

Except as expressly permitted in writing by ZenturioTech Private Limited, you shall not, directly or indirectly:

• reproduce, duplicate, copy, republish, distribute, transmit, display, perform, sell, lease, sublicense, or commercially exploit any part of the Services;
• modify, adapt, translate, create derivative works from, mirror, frame, scrape, archive, or otherwise use the Services or related content for unauthorized purposes;
• reverse engineer, decompile, disassemble, decode, attempt to derive source code, models, algorithms, prompts, workflows, or underlying technology from the Platform;
• access or use the Services to build, train, improve, benchmark, validate, or develop competing products, AI systems, machine learning models, datasets, or commercial services;
• copy, extract, harvest, export, download, mine, or collect platform data, AI outputs, metadata, prompts, behavioural patterns, user flows, recommendation logic, or training-related information through automated or manual means;
• use bots, crawlers, spiders, scrapers, automation systems, data extraction tools, or similar technologies to access or monitor the Platform;
• remove, alter, bypass, obscure, or interfere with copyright notices, trademark notices, watermarks, security features, licensing systems, or proprietary markings;
• use the trademarks, logos, brand identity, designs, or proprietary materials of SereinSoul or ZenturioTech Private Limited without prior written authorization;
• attempt to bypass access restrictions, authentication systems, encryption measures, usage limits, or security protections implemented by the Platform;
• exploit any vulnerability, conduct penetration testing without authorization, or interfere with platform infrastructure, servers, or operational systems;
• resell, white-label, sublicense, rent, share, or commercially redistribute access to the Services;
• use any portion of the Services in violation of applicable laws, regulations, or third-party rights.

Any unauthorized use of the Services or intellectual property may result in immediate suspension or termination of access, legal action, injunctive relief, financial damages, criminal liability where applicable, and enforcement of all available remedies under applicable law.

You acknowledge and agree that:

• the structure, organization, and code of the Services constitute valuable trade secrets and proprietary confidential information;
• unauthorized copying or misuse of the Platform may cause irreparable harm to ZenturioTech Private Limited for which monetary damages alone may not be sufficient;
• ZenturioTech Private Limited reserves the right to pursue equitable relief, including injunctions and restraining orders, in addition to any other legal remedies available.

Any feedback, suggestions, ideas, enhancement requests, recommendations, or submissions you provide regarding the Services may be used by ZenturioTech Private Limited without restriction, attribution, compensation, or obligation to you, and you hereby grant the Company a perpetual, worldwide, irrevocable, royalty-free right to use and incorporate such feedback for any purpose.

All rights not expressly granted under these Terms are fully reserved by ZenturioTech Private Limited and its licensors.

13. Third-Party Services

The Services may integrate with third-party services, websites, APIs, devices, or applications.

We are not responsible for:

• third-party content;
• service interruptions;
• external privacy practices;
• losses caused by third-party providers.

Your use of third-party services is governed by their own terms and policies.

 

14. Availability and Updates

We may:

• modify or discontinue features;
• release updates or patches;
• impose usage limits;
• suspend access for maintenance or security.

We do not guarantee uninterrupted or error free operation.

You may need to install updates to continue using certain features.

15. Suspension and Termination

We may suspend or terminate your access immediately if:

• you violate these Terms;
• your conduct creates risk or harm;
• required by law;
• an Institution agreement ends;
• fraudulent or abusive activity is detected.

Upon termination:

• your license to use the Services ends immediately;
• you must stop using the Services;
• certain data may be deleted in accordance with our retention policies.

Sections intended to survive termination will remain effective.

16. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• NON-INFRINGEMENT;
• ACCURACY;
• AVAILABILITY;
• RELIABILITY;
• SECURITY.

We do not guarantee:

• that the Services will always function correctly;
• that AI outputs will be accurate;
• that emotional or wellness outcomes will improve;
• that services will be uninterrupted or secure.

17. Limitation of Liability

To the maximum extent permitted by applicable law, ZenturioTech Private Limited, its affiliates, licensors, service providers, employees, officers, directors, contractors, agents, and partners shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or speculative damages arising from or related to your use of, or inability to use, the Services.

This includes, but is not limited to:

• emotional distress;
• personal injury not directly caused by our proven negligence;
• loss of profits, revenue, business opportunities, or goodwill;
• data loss or corruption;
• interruption of service;
• unauthorized access to your account or information;
• inaccuracies, delays, or errors in AI generated responses;
• decisions made or actions taken based on information provided through the Services;
• dissatisfaction with coaching, AI interactions, or wellness outcomes.

You acknowledge and agree that:

• the Services are supportive wellness tools and not guaranteed therapeutic interventions;
• AI systems and automated tools may generate incomplete, inaccurate, or inappropriate outputs;
• any reliance on the Services is at your own discretion and risk.

Where the Services provide recommendations, exercises, wellness techniques, educational content, or emotional support guidance, such information is intended solely for informational and self-help purposes and should not be interpreted as medical, psychiatric, legal, or professional advice.

Nothing in these Terms excludes or limits liability that cannot legally be excluded under applicable law, including liability for:

• death or personal injury caused by negligence;
• fraud or fraudulent misrepresentation;
• violations of applicable consumer protection laws.

Subject to the above, our total cumulative liability arising out of or related to the Services, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed:

• the total amount paid by you to ZenturioTech Private Limited for the Services during the twelve (12) months preceding the event giving rise to the claim

Some jurisdictions do not allow certain liability exclusions or limitations. In such jurisdictions, portions of these limitations may not apply to you, and our liability shall be limited to the maximum extent permitted by law.

You are solely responsible for ensuring that your use of the Services complies with all applicable laws, regulations, and professional obligations in your jurisdiction.

18. Indemnification

You agree to defend, indemnify, and hold harmless ZenturioTech Private Limited, its affiliates, subsidiaries, licensors, partners, officers, employees, contractors, agents, and representatives from and against any claims, actions, liabilities, damages, losses, judgments, settlements, costs, and expenses (including reasonable legal fees) arising out of or related to:

• your access to or use of the Services;
• your violation of these Terms;
• your violation of any applicable law or regulation;
• your User Content;
• your infringement of any intellectual property, privacy, confidentiality, or other rights of a third party;
• misuse of AI-generated outputs or coaching guidance;
• unauthorized use of your account by you or any third party using your credentials.

We reserve the right, at our own expense, to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate fully with such defense.

 

19. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or relating to the Services, including non-contractual disputes, shall be governed by and interpreted in accordance with the laws of India, without regard to conflict of law principles.

You agree that any legal action, claim, or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the courts located in Trivandrum, Kerala, India, and you consent to the jurisdiction and venue of such courts.

Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes informally by contacting the other party in writing and allowing a reasonable period for resolution.

Where permitted by applicable law:

• disputes shall be resolved individually and not as part of a class action;
• you waive any right to participate in class-action lawsuits or class-wide arbitration.

Nothing in this section prevents either party from seeking injunctive or equitable relief where necessary to protect intellectual property rights, confidential information, or data security.

20. Changes to the Terms

We may revise or update these Terms from time to time to reflect:

• changes in applicable laws or regulations;
• improvements or modifications to the Services;
• changes in business operations;
• security, safety, or technical requirements.

Where legally required, we will provide notice of material changes through:

• email notification;
• in-app notifications; or
• updates posted on our website.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, you must discontinue use of the Services.

21. Suspension and Termination

We reserve the right to suspend, restrict, or terminate your access to the Services immediately, with or without notice, if:

• you violate these Terms;
• your use creates legal, operational, or security risks;
• fraudulent, abusive, or harmful conduct is detected;
• required by law, court order, or regulatory authority;
• an Institution partnership or access agreement ends;
• continued access may cause harm to users, systems, or third parties.

Upon termination:

• all rights granted to you under these Terms immediately cease;
• you must stop using the Services;
• certain information may remain retained as required by law, regulatory obligations, audit requirements, or legitimate business interests.

Termination shall not affect any provisions intended to survive termination, including provisions relating to:

• intellectual property;
• disclaimers;
• limitation of liability;
• indemnification;
• dispute resolution;
• governing law;
• data rights and privacy obligations.

22. Intellectual Property Rights

All rights, title, ownership, and interest in and to the Services, Platform, and all related technology, systems, materials, and content are owned by or licensed to ZenturioTech Private Limited and are protected under applicable intellectual property, copyright, trademark, patent, trade secret, and other proprietary rights laws.

This includes, without limitation:

• software, applications, source code, object code, APIs, SDKs, and databases;
• AI systems, machine learning models, recommendation systems, prompts, workflows, neural architectures, automation systems, and algorithms;
• platform structures, user interfaces, layouts, UX/UI elements, animations, visual designs, graphics, illustrations, icons, and templates;
• trademarks, logos, service marks, trade names, branding elements, slogans, and domain names;
• written content, text, audio, video, assessments, wellness materials, educational resources, and generated outputs;
• behavioural methodologies, clinical frameworks, emotional wellness exercises, support systems, analytics systems, operational logic, and proprietary methodologies;
• documentation, research structures, data compilations, taxonomies, and internal processes;
• all updates, improvements, enhancements, modifications, derivative technologies, and related intellectual property associated with the Services.

Except for the limited, revocable, non-exclusive, non-transferable, and non-sublicensable license expressly granted under these Terms for personal and lawful use of the Services, no ownership rights, licenses, or proprietary interests are transferred to you.

You may not, directly or indirectly, without prior written authorization from ZenturioTech Private Limited:

• copy, reproduce, republish, distribute, transmit, display, sell, license, lease, sublicense, or commercially exploit any part of the Services;
• modify, adapt, translate, mirror, frame, archive, scrape, or create derivative works based on the Services or related materials;
• reverse engineer, decompile, disassemble, decode, or attempt to extract source code, models, system architecture, workflows, prompts, algorithms, datasets, or underlying technologies;
• use the Services, outputs, datasets, behavioural structures, or content to train, fine-tune, validate, benchmark, or develop competing AI systems, machine learning models, products, or commercial services;
• use automated systems, bots, crawlers, spiders, scrapers, or extraction technologies to access, harvest, collect, monitor, or copy platform data or functionality;
• remove, alter, conceal, or interfere with copyright notices, trademarks, security systems, access controls, or proprietary markings;
• use our branding, trademarks, logos, visual identity, designs, or proprietary assets without express written permission;
• commercially exploit, resell, white-label, redistribute, or provide unauthorized third-party access to any portion of the Services;
• bypass, disable, interfere with, or compromise security protections, authentication systems, or operational restrictions implemented within the Platform;
• access or use the Services for unlawful purposes, competitive intelligence, or activities that may harm the Platform, users, Support Professionals, or ZenturioTech Private Limited.

You acknowledge and agree that:

• the Services contain proprietary and confidential information constituting valuable trade secrets of ZenturioTech Private Limited and its licensors;
• unauthorized use, copying, or disclosure of the Services may cause substantial and irreparable harm for which monetary damages alone may not be an adequate remedy;
• ZenturioTech Private Limited reserves the right to seek injunctive relief, equitable remedies, damages, and any other legal remedies available under applicable law.

Any feedback, suggestions, ideas, recommendations, enhancement requests, or submissions provided by you regarding the Services may be used by ZenturioTech Private Limited without restriction, attribution, notice, or compensation, and you grant the Company a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate such feedback into the Services or related products.

All rights not expressly granted under these Terms are fully reserved by ZenturioTech Private Limited and its licensors.

23. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

Any unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent as closely as possible.

24. No Waiver

Failure by ZenturioTech Private Limited to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.

Any waiver must be made expressly in writing.

25. Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements expressly incorporated by reference, constitute the complete and exclusive agreement between you and ZenturioTech Private Limited regarding the Services and supersede all prior understandings, communications, and agreements.
